Terms of Service

KLNQ is a clinic management software product owned and operated by Nightbirds Solutions, a DTI-registered sole proprietorship operating from Bacolod City, Negros Occidental, Philippines.

In these Terms, “KLNQ,” “Nightbirds Solutions,” “we,” “us,” and “our” refer to the provider of the KLNQ service.

These Terms apply when you visit the KLNQ website, create an account, participate in a pilot or trial, or purchase and use a KLNQ subscription.

By creating an account or using KLNQ, you agree to these Terms. If you create or manage a clinic organization, you confirm that you have the authority to manage that organization and its users.

Electronic acceptance of these Terms, including through account registration, checkbox acceptance, or continued use of the Service, may constitute a valid electronic agreement under applicable Philippine law.

KLNQ is a cloud-based clinic management platform for doctors, dentists, secretaries, and clinic teams.

Depending on the subscribed plan and available features, KLNQ may provide tools for patient management, appointments, patient check-in, clinic queues, clinical documentation, prescriptions, dental charting, periodontal charting, treatment planning, billing, inventory, point of sale, and other clinic operations.

KLNQ is a clinic management system that stores clinical information. It is not a medical device, diagnostic system, or substitute for an official medical records policy maintained by your clinic.

KLNQ does not provide medical or dental advice, diagnosis, treatment recommendations, or clinical decision-making. All professional decisions remain the responsibility of the licensed practitioner.

You must provide accurate and current information when creating and maintaining a KLNQ account.

Each user should use their own account. Account credentials must not be shared with unauthorized persons.

You are responsible for:

• Protecting your login credentials.
• Activity performed through your account.
• Maintaining accurate account information.
• Promptly informing us if you believe your account has been compromised.

KLNQ is intended primarily for healthcare practitioners and clinics, including doctors and dentists operating in the Philippines.

We may collect professional information such as a practitioner’s PRC license number. KLNQ does not currently independently verify professional licenses, and the presence of an account on KLNQ should not be interpreted as certification or endorsement of a user’s professional qualifications by Nightbirds Solutions.

We may restrict, suspend, or terminate an account where reasonably necessary, including where:

• These Terms are materially violated.
• KLNQ is used unlawfully.
• An account creates a security or privacy risk.
• A user attempts to access another clinic’s information without authorization.
• Payment remains overdue.
• False or misleading registration information is provided.
• The Service is intentionally abused or disrupted.

KLNQ may provide pilot programs, free access, promotional pricing, monthly subscriptions, annual subscriptions, or other offers.

Pilot access is available only to clinics accepted by Nightbirds Solutions. Current pilot availability may be geographically limited, including to clinics within or around Bacolod City and Negros Occidental.

Paid subscriptions are charged at the price displayed or agreed upon when the subscription is purchased. Subscriptions do not automatically renew unless expressly stated otherwise.

If payment becomes overdue, we may provide a grace period of up to seven (7) days before access is restricted or suspended. Except where required by law or expressly agreed otherwise, subscription payments are generally non-refundable once the paid service period has begun.

We may change KLNQ pricing in the future. Existing customers will be informed of material pricing changes before those changes apply to a future purchase or subscription period.

You may use KLNQ only for legitimate clinic and healthcare-practice operations. You must not:

• Use KLNQ for unlawful purposes.
• Access or attempt to access another clinic’s records without authorization.
• Upload personal or patient information that you have no lawful authority to process.
• Share access outside the authorized clinic organization.
• Circumvent authentication, permissions, security controls, or usage restrictions.
• Probe, attack, overload, or disrupt KLNQ infrastructure.
• Upload malware or malicious code.
• Scrape, copy, reverse engineer, or attempt to extract KLNQ source code except where permitted by law.
• Resell or sublicense KLNQ without written authorization.
• Use the Service in a manner that violates another person’s privacy, intellectual property rights, or other legal rights.

Patient records entered into KLNQ remain under the control of the clinic or practitioner that collected them. Nightbirds Solutions does not claim ownership of your patients’ records.

For patient information processed through a clinic’s KLNQ workspace, the clinic or practitioner generally acts as the Personal Information Controller (PIC) under Republic Act No. 10173, the Data Privacy Act of 2012, while Nightbirds Solutions processes that information to provide KLNQ as a Personal Information Processor (PIP) where applicable.

Patient information may include sensitive personal information, including medical, dental, health, diagnostic, treatment, prescription, and related records.

Nightbirds Solutions will not use identifiable patient information for advertising, marketing, behavioral profiling, sale of information, or training unrelated products or services.

Patient information is processed only as reasonably necessary to operate, secure, maintain, support, and provide KLNQ, comply with lawful obligations, or carry out instructions from the clinic controlling the information.

The practitioner and clinic remain responsible for the healthcare services they provide, including diagnosis and treatment decisions, medications and prescriptions, patient communication, accurate records, staff access, and compliance with applicable professional, healthcare, privacy, retention, and regulatory obligations.

Information displayed by KLNQ must be reviewed by the responsible practitioner. Medication search functionality may assist users in locating medication names, but KLNQ does not determine medication appropriateness, dosage, frequency, contraindications, interactions, or treatment suitability.

The practitioner is responsible for verifying all prescription information before issuing or printing a prescription.

Nightbirds Solutions owns or licenses the KLNQ software, website, branding, interface, documentation, designs, and related intellectual property.

Your subscription grants you a limited, revocable, non-exclusive, and non-transferable right to use KLNQ for authorized clinic operations in accordance with these Terms.

Your clinic and patient information remains yours or remains under the control of the person or organization legally entitled to control it. You grant Nightbirds Solutions only the rights reasonably necessary to host, transmit, store, back up, secure, display, and otherwise process that information to provide KLNQ.

We work to maintain KLNQ as a reliable service, but continuous or uninterrupted availability cannot be guaranteed.

KLNQ may occasionally be unavailable because of maintenance, software updates, security work, infrastructure or hosting failures, internet or telecommunications problems, emergency maintenance, or circumstances outside our reasonable control.

Where practical, scheduled maintenance is performed during lower-activity hours, commonly between approximately 12:00 AM and 3:00 AM Philippine Time. Emergency maintenance may be performed without advance notice where necessary to protect the Service or its users.

Clinics should maintain reasonable contingency procedures, including the ability to temporarily use paper-based workflows where necessary during an outage. We may add, modify, improve, replace, or discontinue KLNQ functionality as the Service develops.

KLNQ is provided on an “as is” and “as available” basis to the extent permitted by Philippine law.

Although we work to maintain reliable and secure software, we do not warrant that KLNQ will always operate without interruption, contain no defects or errors, meet every clinic’s individual requirements, or prevent every possible instance of data loss, unauthorized access, or service interruption.

KLNQ is a software tool and does not replace professional judgment, clinic policies, legally required documentation practices, or appropriate backup and contingency procedures. Nothing in these Terms excludes rights or protections that cannot legally be excluded under Philippine law.

To the extent permitted by applicable Philippine law, Nightbirds Solutions is not responsible for losses arising primarily from incorrect or incomplete information entered by a user, clinical decisions, unauthorized credential sharing, a clinic’s failure to comply with privacy or professional obligations, third-party infrastructure failures outside our reasonable control, or use of KLNQ contrary to these Terms.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the extent permitted by law, you are responsible for claims, losses, or expenses resulting from your clinic’s professional healthcare services, information entered or uploaded without lawful authority, your material violation of these Terms, your violation of applicable law, or infringement of another person’s rights through your use of KLNQ.

You may choose not to continue your KLNQ subscription. Because subscriptions do not automatically renew unless expressly stated otherwise, access normally continues until the end of the applicable paid period.

After termination or expiry, clinics may be provided up to thirty (30) days to request or obtain an available export of their clinic data, including supported CSV exports.

After this period, information may be removed from active KLNQ systems, subject to legal or regulatory retention obligations, unresolved security or legal matters, and temporary retention within protected system backups. Clinics remain responsible for maintaining patient records for any period required by applicable laws or professional standards.

These Terms are governed by the laws of the Republic of the Philippines. To the extent permitted by applicable law, disputes relating to these Terms or KLNQ shall be brought before the appropriate courts having jurisdiction in Bacolod City, Negros Occidental, Philippines.

We may update these Terms as KLNQ, our business practices, applicable laws, or regulatory requirements change.

For material changes, we will provide reasonable notice where practicable through an in-app notification, a notice on the KLNQ website, or an announcement through an official KLNQ or Nightbirds Solutions communication channel.

The current version will display its latest effective or updated date. Continued use of KLNQ after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
